End user license agreement
These terms are the end user license agreement for PaidUp. By creating a workspace you agree to them. If you are accepting on behalf of a company, you confirm you can bind that company.
The service
PaidUp reads a QuickBooks Online company you connect, drafts and sends invoice reminders, classifies replies, and prepares vendor credit-request drafts. It is not a collection agency, law firm, or accounting firm. You are responsible for the invoices you send, the claims you make, and the laws that apply to your reminders, including any requirement to include your own mailing address in the signature.
QuickBooks
You authorize a read of your QuickBooks company. PaidUp will not write invoices, payments, bills, or customers back to QuickBooks. You can disconnect at any time inside the app or from PaidUp's disconnect page. QuickBooks and Intuit are trademarks of Intuit Inc. PaidUp is an independent product.
Test mode and email
New workspaces start in test mode. Reminders go to the owner, with a [TEST] subject prefix, until you turn test mode off. Turning it off requires an active plan and sends the next reminder to the customer email on the invoice. You choose the from-name (your company) and the reply address (your email). You are responsible for the content that goes out once test mode is off.
Plans
Monthly plans are subscriptions limited by the number of open invoices. If you go over the cap, live reminders pause until you upgrade or the count drops. Test mode can keep running. Fees are billed by Stripe when Stripe is configured. You can cancel in the billing portal.
AppSumo licenses are lifetime tiers. Tier 1 covers one QuickBooks company and 500 live reminders a month. Tier 2 covers three companies and 2,000 reminders. Tier 3 covers ten companies and does not cap monthly reminders. Extra active codes stack up to tier 3. A refund or deactivation removes that code. An upgrade or downgrade replaces the previous key. When a tier no longer covers the number of connected companies, live reminders pause until a company is disconnected or the tier goes back up.
Filing windows and texts
Filing-window counts for the states PaidUp cites are reminders to you. They are not legal advice. Confirm any deadline with an attorney. Customers are not told about those windows. Text reminders require a recorded opt-in, go out between 8:00 a.m. and 8:00 p.m. in the customer's timezone, and stop when the recipient replies STOP. You are responsible for having permission to text that number.
Acceptable use
Do not use PaidUp to harass anyone, to invent balances, or to connect a QuickBooks company you are not allowed to read. Do not probe the service for another tenant's data.
Availability and liability
The service is provided as available. Drafts can be wrong even when they stick to the numbers we pulled. Check anything you send to a vendor. To the extent the law allows, PaidUp is not liable for lost profits, uncollected invoices, or vendor disputes. These terms are the agreement for the product.
